DuPont has revealed that Arclin, a portfolio company of an affiliate of TJC, L.P. (TJC), has reached a definitive agreement to acquire DuPont’s Aramids business (Kevlar and Nomex) in a transaction valuing the business at approximately $1.8 billion.
According to the announcement, Arclin has received fully committed financing in connection with the transaction, which is expected to close in the first quarter of 2026, subject to customary closing conditions and regulatory approval.
At close, DuPont will receive pre-tax cash proceeds of approximately $1.2 billion, subject to customary transaction adjustments.
DuPont will also obtain a note receivable of $300 million and a non-controlling common equity interest in the future Arclin company currently valued at $325 million, which is expected to represent an approximate 17.5% stake at the time of close.
